Terms of Service

These Terms of Service (“Terms”) govern your use of the PixVend platform operated by DanCueDigital LLC (“we,” “us,” “our”). By creating an account or using PixVend, you agree to these Terms.

1. Definitions

  • Platform — the PixVend website, API, and related services at pixvend.com and all subdomains.
  • Seller — a user who uploads, organizes, and sells photos or prints through the Platform.
  • Buyer — a person who purchases digital downloads, prints, or other products through a Seller’s storefront.
  • Content — photos, images, text, logos, and any other material uploaded to the Platform.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use PixVend as a Seller. Buyers must be at least 13 years old. By using the Platform, you represent that you meet these requirements.

3. Accounts

  • You are responsible for maintaining the security of your account credentials.
  • You must provide accurate information during registration.
  • One person or legal entity may operate multiple stores only on the Enterprise plan.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Seller Obligations

  • You must own or have the legal right to distribute all Content you upload.
  • You are solely responsible for obtaining model releases, property releases, and any other permissions required for the photos you sell.
  • You must comply with all applicable laws, including tax obligations in your jurisdiction.
  • You must not upload Content that infringes on third-party intellectual property rights.
  • You grant PixVend a limited, non-exclusive license to display, resize, watermark, and cache your Content solely for the purpose of operating the Platform (gallery display, thumbnails, CDN delivery). This license terminates when you delete your Content or close your account.

5. Subscriptions & Billing

  • Paid plans are billed monthly via Stripe. Your subscription renews automatically until canceled.
  • You may cancel at any time. Cancellation takes effect at the end of the current billing period.
  • We reserve the right to change pricing with 30 days’ written notice. Existing subscribers are grandfathered at their current rate for 90 days after a price change.
  • If payment fails, we will attempt to charge your card up to 3 times over 14 days before suspending your account.
  • The Free plan is subject to a 5% commission on digital sales and a 20% fee on print markup. Paid plans have 0% commission on digital sales.

6. Payments & Payouts (Stripe Connect)

  • Buyer payments are processed through Stripe and deposited directly into your Stripe Connected Account.
  • PixVend does not hold or control your sales revenue. Stripe handles all payment processing, payout scheduling, and tax reporting (1099-K).
  • Payout frequency (daily, weekly, or monthly) is configured in your Stripe dashboard.
  • Standard Stripe processing fees (currently 2.9% + $0.30 per transaction) are deducted from each sale and are the Seller’s responsibility.
  • Chargebacks and disputes are handled through Stripe’s dispute resolution process. PixVend will cooperate with investigations but is not liable for chargeback losses.

7. Print Orders & Fulfillment

  • Print products are fulfilled by Prodigi, a third-party print provider. PixVend is not the manufacturer or shipper.
  • Sellers set their own markup on print products. PixVend applies a platform fee on the markup portion only (not the base print cost), which varies by plan tier.
  • Print quality, shipping times, and delivery issues are subject to Prodigi’s terms. PixVend will assist with print-related support but cannot guarantee fulfillment outcomes.

8. Intellectual Property

  • Sellers retain full ownership of their Content. PixVend claims no ownership rights.
  • The PixVend brand, logo, software, and design are the intellectual property of DanCueDigital LLC.
  • Themes and plugins purchased through the marketplace are licensed, not sold. See individual theme/plugin licenses for specific terms.

9. Content Moderation

  • We reserve the right to remove Content that violates these Terms, our Acceptable Use Policy, or applicable law.
  • We respond to valid DMCA takedown notices. See our Copyright / DMCA Policy.
  • We may suspend accounts pending investigation of reported violations.

10. Data & Privacy

  • Your data is governed by our Privacy Policy.
  • You may export your data at any time via the Data Export feature or Cloud Backup (Business+ plans).
  • Upon account deletion, we will remove your Content from our servers within 30 days. Cached copies at CDN edge nodes may persist for up to 90 days.

11. Limitation of Liability

To the maximum extent permitted by law:

  • PixVend is provided “as is” without warranty of any kind, express or implied.
  • DanCueDigital LLC is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or business opportunities.
  • Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the amount you paid to PixVend in the 12 months preceding the claim.
  • We are not liable for losses caused by Stripe, Prodigi, or other third-party services.

12. Indemnification

You agree to indemnify and hold harmless DanCueDigital LLC, its officers, and affiliates from any claims, damages, or expenses arising from: (a) your Content, (b) your use of the Platform, (c) your violation of these Terms, or (d) your violation of any third-party rights.

13. Termination

  • You may close your account at any time from your dashboard.
  • We may terminate or suspend your account for violation of these Terms, with or without notice depending on severity.
  • Upon termination, your storefront will be taken offline. You will have 30 days to export your data before it is permanently deleted.
  • Outstanding payouts will be processed according to Stripe’s standard schedule.

14. Dispute Resolution

  • These Terms are governed by the laws of the State of Florida, United States.
  • Any disputes will be resolved through binding arbitration under the rules of the American Arbitration Association, unless you qualify for small claims court.
  • You waive any right to participate in class action lawsuits or class-wide arbitration.

15. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated via email to registered users at least 30 days before taking effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
